This website is operated by Springrates, LLC. Throughout the site, the terms "we," "us," and "our" refer to Springrates, LLC. By visiting our site and/or purchasing something from us, you engage in our "Service" and agree to be bound by the following Terms of Sale, including any policies referenced herein.

Please read these Terms carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms. If you do not agree, you may not access the website or use any services.

Our store is hosted on Shopify, which provides us with the e-commerce platform that allows us to sell products and services to you.

Section 1 – Online Store Terms

By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence. You may not use our products for any illegal or unauthorized purpose, nor may you violate any laws in your jurisdiction. You must not transmit any worms, viruses, or code of a destructive nature. A breach of any Term will result in immediate termination of your access to our Services.

Section 2 – General Conditions

We reserve the right to refuse service to anyone for any reason at any time. Credit card information is always encrypted during transfer over networks. You agree not to reproduce, duplicate, copy, sell, or exploit any portion of the Service without express written permission from us.

Section 3 – Accuracy, Completeness & Timeliness

We are not responsible if information on this site is not accurate, complete, or current. The material on this site is provided for general information only and should not be used as the sole basis for making decisions. Most product descriptions are provided by manufacturers. Any reliance on material on this site is at your own risk. We reserve the right to modify site content at any time without obligation to update any information.

Section 4 – Modifications to Service & Prices

Prices are subject to change without notice. We reserve the right to modify or discontinue the Service (or any part thereof) without notice at any time. We shall not be liable for any modification, price change, suspension, or discontinuance of the Service.

Section 5 – Products & Services

Certain products may be available exclusively online through the website and are subject to limited quantities. We have made every effort to display product colors and images accurately; however, we cannot guarantee that your monitor's display will be accurate. Images should not be used to verify fitment.

Important fitment and product notes:

  • All coilovers are 2WD unless specified as AWD.
  • Notes regarding electronic damping (EDC, DDS, etc.) typically pertain to vehicle fitment. Aftermarket coilovers do NOT interface with OEM electronic damping control systems unless explicitly specified.
  • Fitment data is provided by the manufacturer. It is the customer's responsibility to verify fitment prior to ordering and installation. Springrates, LLC is not responsible for fitment issues.
  • We reserve the right to limit sales of our products to any person, geographic region, or jurisdiction on a case-by-case basis, and to limit quantities of any products offered.

Section 6 – Race & Off-Road Use Only — Important Notice

RACE / OFF-ROAD USE ONLY: Unless explicitly stated otherwise, ALL products sold by Springrates, LLC are designated for Race Only use and are intended exclusively for competition and off-road use limited to racing formally sanctioned by a recognized racing organization. These products are NOT approved, certified, or intended for use on public roads or highways.

By purchasing any product from Springrates, LLC, you acknowledge and agree that:

  • You understand the product is intended for off-road/competition use only.
  • Use of this product on public roads may violate federal, state, or local laws and regulations.
  • Springrates, LLC is not responsible for any property loss, injuries, casualties, fines, or legal consequences resulting from use of products outside of a formally sanctioned racing environment.
  • You assume all risk and liability for any use of products outside of their intended off-road/competition purpose.

Section 7 – Professional Installation Required

All products sold by Springrates, LLC must be installed by a certified professional installer or licensed mechanic experienced in aftermarket suspension and performance parts. Installation by an unqualified individual may result in product failure, vehicle damage, or serious injury. Springrates, LLC is not liable for any damage, injury, or loss resulting from improper installation or failure to follow manufacturer instructions.

By purchasing from our site, you acknowledge and agree that:

  • You will not attempt to install parts yourself unless you are a certified professional.
  • Any warranty claims or product support requests may be denied if professional installation cannot be verified.
  • Springrates, LLC does not provide installation services or technical support for installations performed outside of a licensed facility.
  • Improper installation voids any manufacturer warranty and waives your right to return the product due to defect or fitment concerns.

Section 8 – Accuracy of Billing & Account Information

We reserve the right to refuse or cancel any order. We may limit or cancel quantities purchased per person, per household, or per order, including orders placed under the same customer account, credit card, or billing/shipping address. We also reserve the right to limit orders that appear to be placed by dealers, resellers, or distributors.

You agree to provide current, complete, and accurate purchase and account information for all purchases, and to promptly update your account information, including your email address and credit card details, so we can complete transactions and contact you as needed.

Section 9 – Pricing Errors & Typographical Errors

In the event that a product is listed at an incorrect price or with incorrect information due to a typographical error, system error, or pricing feed error, Springrates, LLC reserves the right to refuse or cancel any orders placed at the incorrect price, whether or not the order has been confirmed or your payment method charged.

If your payment method has already been charged for an order that is subsequently canceled due to a pricing error, we will issue a full refund of the incorrect amount. We are under no obligation to fulfill orders placed at erroneous prices, even if the error was on our part.

Example: If a product listed at $1,200 is incorrectly displayed as $12 due to a data error, we reserve the right to cancel the order and refund any payment collected, without further obligation.

Section 10 – Return Policy

You may return most new, unopened items within 30 days of delivery. We will pay return shipping costs only if the return is the result of our error (e.g., you received an incorrect or defective item). If a return is due to a change of mind or no error on our part or the manufacturer's part, the customer is responsible for all original and return shipping costs, including on orders with free shipping.

Important Return Notes:

  • Items must be returned in new, uninstalled, and unused condition in original packaging.
  • An RMA Number is required for all returns. Contact support@springrates.com to obtain one.
  • A 20% restocking fee will be deducted from all refunds. No exceptions.
  • Refunds cover the purchase price of the item only (shipping and taxes not included).
  • Refunds are processed within approximately 7–10 business days of receiving and inspecting the returned item.
  • Refunds are available for Domestic USA orders only. All international sales are final.
  • Returns and cancellations are not allowed on custom or special orders.
  • Some manufacturers do not allow returns except for defective products or incorrect shipments. All sales are final on such items.
  • We are not responsible for return shipments that are lost. We strongly recommend including tracking on all return shipments.
  • We will not expedite return shipments or reimburse expedited shipping costs.

Section 11 – Shipping Policy

We offer free shipping within the Continental USA on orders over $250 (physical products only). Orders shipping to Hawaii, Alaska, Puerto Rico, Canada, or other locations outside the Continental USA will incur additional shipping charges. The buyer is responsible for any applicable customs duties, tariffs, taxes, or fees for international shipments. Digital goods and services are not eligible toward the free shipping minimum.

We do not ship to:

  • PO Boxes
  • Freight Forwarders
  • Locations outside of North America

Shipping & Handling

Estimated shipping and delivery times depend on item availability and are determined by the manufacturer, as most orders are shipped directly from their warehouse. Please note that we are not responsible for delays in shipping or handling times. Expedited shipping is not available at this time.

All shipments require an adult signature upon delivery to ensure secure receipt and prevent fraud.

Address Changes

Shipping addresses cannot be changed after the order is placed. If an address change is needed, the order must be canceled (if possible) and a new order placed. This will restart the processing and shipping timeline.

Shipping Damages

If your order arrives visibly damaged, you must:

  • Document the damage with photographs before opening or further handling the package.
  • Note the damage with the carrier at the time of delivery, if possible.
  • Contact us at support@springrates.com within 48 hours of delivery with your order number and photos of the damage.
  • Failure to report shipping damage within 48 hours of delivery may result in denial of a damage claim.

Springrates, LLC is not responsible for damage caused during shipping; however, we will assist customers in filing a claim with the carrier where possible. We are not responsible for delays, damage, or losses caused by the shipping carrier.

Section 12 – Cancellation Policy

You may request to cancel an order if it has not yet been shipped; however, not all orders can be canceled due to our automated processing and fast shipping procedures. A 5% cancellation fee applies to all approved cancellations to cover non-refundable payment processor transaction costs.

Custom orders, special order items, and international orders cannot be canceled once placed. All sales for these items are final.

Section 13 – Chargebacks & Credit Card Disputes

Before initiating a chargeback or credit card dispute with your financial institution, we strongly encourage you to contact us directly at support@springrates.com so that we may resolve the issue promptly. Most issues can be resolved quickly without the need for a formal dispute.

By placing an order with Springrates, LLC, you agree that:

  • You will contact us first before initiating any chargeback or payment dispute.
  • Filing a chargeback for a valid charge, or for an order that falls within our stated Return Policy but for which you have not followed the return process, may be considered fraudulent misrepresentation.
  • If a chargeback is filed and determined to be invalid, Springrates, LLC reserves the right to recover all costs associated with the dispute, including chargeback fees, administrative costs, and reasonable legal fees.
  • We reserve the right to refuse future orders from any customer who has filed a fraudulent or invalid chargeback.

Note: Chargebacks filed for orders that comply with our Return and Cancellation Policies, or for orders that were delivered as described, will be disputed with full documentation submitted to the card network.

Section 14 – Order Verification

For high-value orders or orders where payment information cannot be verified, Springrates, LLC reserves the right to require additional verification before processing or shipping an order. This may include:

  • Verification of billing address and payment method.
  • Confirmation of identity via email or phone.
  • Additional documentation for orders shipping to addresses that differ from the billing address.

Orders that cannot be verified within a reasonable timeframe may be canceled. If payment has been collected on a canceled unverifiable order, a full refund will be issued. We are not responsible for delays caused by the verification process.

Section 15 – Errors, Inaccuracies & Omissions

Occasionally, information on our site may contain typographical errors, inaccuracies, or omissions related to product descriptions, pricing, promotions, shipping charges, transit times, or availability. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders at any time without prior notice, including after you have submitted your order.

Section 16 – Prohibited Uses

In addition to other prohibitions set forth in these Terms, you are prohibited from using the site or its content for any of the following:

  • Any unlawful purpose, or to solicit others to perform or participate in unlawful acts.
  • Violating any international, federal, state, or local regulations, rules, or laws.
  • Infringing upon or violating our intellectual property rights or those of others.
  • Harassing, abusing, insulting, harming, defaming, or discriminating based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.
  • Submitting false or misleading information.
  • Uploading or transmitting viruses or other malicious code.
  • Collecting or tracking the personal information of others.
  • Spamming, phishing, scraping, or crawling our website.
  • Interfering with or circumventing the security features of the Service or any related website.

Section 17 – Intellectual Property

SPRINGRATES® is a registered trademark of Springrates, LLC. All trademarks, service marks, logos, trade names, and any other proprietary designations of Springrates, LLC used on or in connection with the site and our products are trademarks or registered trademarks of Springrates, LLC in the United States.

All content on this website is the property of Springrates, LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. This includes, but is not limited to:

  • Text, graphics, images, logos, button icons, and software.
  • Product descriptions, titles, and marketing copy created or curated by Springrates, LLC.
  • Product data, including but not limited to fitment data, spring rate specifications, damper settings, compatibility charts, vehicle application data, and any other technical data compiled, organized, or presented by Springrates, LLC (collectively, "Product Data").
  • The selection, arrangement, compilation, and presentation of any data or content on this site, which constitutes original authorship protectable under copyright law.

Our Product Data represents a substantial investment of time, expertise, and resources. Even where individual data points may originate from manufacturer sources, the compilation, organization, verification, and presentation of that data by Springrates, LLC constitutes proprietary intellectual property.

You may not use, copy, reproduce, scrape, harvest, republish, upload, post, transmit, distribute, sell, license, or modify any of our intellectual property or Product Data in any way — including through automated means such as bots, scrapers, or data extraction tools — without prior written permission from Springrates, LLC.

Competitors, resellers, and data aggregators are expressly prohibited from accessing, copying, or using our Product Data for any commercial purpose. Violation of this policy may result in legal action under applicable copyright, unfair competition, and computer fraud laws.

Section 18 – Disclaimer of Warranties & Limitation of Liability

We do not guarantee that our service will be uninterrupted, timely, secure, or error-free. The service and all products delivered through the service are provided "as is" and "as available" without any warranties or conditions of any kind, either express or implied, including all implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement.

In no case shall Springrates, LLC, our directors, officers, employees, affiliates, agents, contractors, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including lost profits, lost revenue, lost savings, loss of data, or replacement costs, arising from your use of the service or any products procured using the service.

Where state or jurisdictional law does not allow the exclusion or limitation of liability for consequential or incidental damages, our liability shall be limited to the maximum extent permitted by law.

Section 19 – Product Warranty Disclaimer

Springrates, LLC does not provide any product warranty. All warranty matters are handled exclusively and directly between the customer and the manufacturer. Springrates, LLC has no responsibility or liability for any warranty claims, defects, failures, or manufacturer decisions regarding warranty coverage.

To initiate a warranty claim, customers must contact the product manufacturer directly. Springrates, LLC will not act as an intermediary in warranty disputes and makes no representations regarding the terms, duration, or enforceability of any manufacturer's warranty.

Section 20 – Force Majeure

Springrates, LLC shall not be liable for any failure or delay in the performance of our obligations under these Terms where such failure or delay results from causes beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters, floods, earthquakes, or extreme weather events.
  • War, terrorism, riots, civil unrest, or government actions.
  • Pandemics, epidemics, or public health emergencies.
  • Supply chain disruptions, manufacturer delays, or carrier failures.
  • Labor strikes, lockouts, or industrial disputes.
  • Power outages, internet or telecommunications failures, or cyberattacks.

In the event of a force majeure event, we will notify you as soon as reasonably practicable and will use commercially reasonable efforts to resume performance. If a force majeure event continues for more than 30 days, either party may cancel the affected order by providing written notice, with a full refund issued for any unshipped items.

Section 21 – Indemnification

You agree to indemnify, defend, and hold harmless Springrates, LLC and its parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees from any claim or demand, including reasonable attorneys' fees, made by any third party arising out of your breach of these Terms or your violation of any law or the rights of a third party.

Section 22 – Personal Information & Privacy

Your submission of personal information through the store is governed by our Privacy Policy. Please review our Privacy Policy for full details on how we collect, use, and protect your information.

Section 23 – SMS/MMS Mobile Messaging

When you opt into our SMS/MMS messaging program, we will send you a confirmation message. Our messaging service is used for marketing communications, including company updates, events, sales, and shopping cart reminders.

  • To cancel SMS messages at any time, text "STOP" to the short code.
  • For help or a list of supported keywords, text "HELP" to the short code.
  • Message and data rates may apply. Frequency of messages may vary.
  • For questions about your text or data plan, contact your wireless provider.
  • For questions about this short code service, email info@springrates.com.

Carriers are not liable for delayed or undelivered messages.

Section 24 – Severability

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed. Such determination shall not affect the validity and enforceability of any other remaining provisions.

Section 25 – Termination

These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by notifying us that you no longer wish to use our Services, or when you cease using our site. If, in our sole judgment, you fail to comply with any provision of these Terms, we may terminate this agreement at any time without notice, and you will remain liable for all amounts due up to and including the date of termination.

Section 26 – Entire Agreement

These Terms of Sale, together with any policies or operating rules posted by us on this site, constitute the entire agreement between you and Springrates, LLC and govern your use of the Service, superseding any prior or contemporaneous agreements, communications, or proposals between you and us. The failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Section 27 – Governing Law

These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. To the extent permitted by applicable Texas law, you consent to the exclusive jurisdiction of the state and federal courts located in Texas for any disputes not subject to arbitration under Section 28.

Section 28 – Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Service (collectively, "Disputes"), you and Springrates, LLC agree to first attempt to resolve the Dispute informally by contacting us at info@springrates.com. If a Dispute cannot be resolved informally within 30 days, the parties agree to binding arbitration in Texas, in accordance with the American Arbitration Association's Commercial Arbitration Rules.

You agree to waive any right to a jury trial or to participate in a class-action lawsuit or class-wide arbitration. This dispute resolution section shall survive termination of these Terms.

Section 29 – Changes to Terms of Sale

We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms by posting updates to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website following the posting of any changes constitutes acceptance of those changes.
